Medical Properties Trust kondigt emissie van preferente obligaties ter waarde van 500 miljoen euro aan

BIRMINGHAM, Ala.–(BUSINESS WIRE)– Medical Properties Trust, Inc. heeft vandaag bekendgemaakt dat zijn operationele vennootschap, MPT Operating Partnership L.P (Operating Partnership) en zijn dochteronderneming  MPT Finance Corporation, afhankelijk van marktomstandigheden en andere factoren, voornemens zijn preferente obligaties ter waarde van 500 miljoen euro uit te geven.  De obligaties zijn ongedekte preferente obligaties met garantie van Medical Properties Trust.

De uitgevers van de obligaties willen ongeveer 200 miljoen euro van de opbrengst gebruiken voor de vooruitbetaling en delging van uitstaande leningen op vaste termijn van het in euro’s aangegeven deel van een kredietfaciliteit, inclusief de geaccumuleerde rente over dat krediet. De emittenten zijn voorts van plan 200 miljoen euro van de resterende opbrengst te gebruiken voor de financiering van de recentelijk door Medical Properties Trust aangekondigde vastgoedovernames van Median Kliniken group S.à r.l. (MEDIAN), inclusief aanverwante kosten belastingen. De overgebleven opbrengst van de uitgifte gaat naar algemene bedrijfszaken, die mogelijk investeringen meer medisch vastgoed behelzen.

 

Medical Properties Trust Announces Public Offering of €500 Million of Senior Notes

BIRMINGHAM, Ala.–(BUSINESS WIRE)– Medical Properties Trust, Inc. (the “Company”) (NYSE: MPW) announced today that its operating partnership, MPT Operating Partnership, L.P. (the “Operating Partnership”), and MPT Finance Corporation, a wholly-owned subsidiary of the Operating Partnership (“MPT Finance” and, together with the Operating Partnership, the “Issuers”), intend to offer, subject to market and other conditions, €500 million aggregate principal amount of senior notes (the “Notes”). The Notes will be senior unsecured obligations of the Issuers, guaranteed by the Company.

The Issuers intend to use approximately €200 million of the net proceeds from this offering of Notes to prepay and extinguish the €200 million of outstanding term loans under the euro-denominated term loan facility portion of the revolving credit and term loan facilities, and accrued and unpaid interest thereon. The Issuers intend to use approximately €200 million of the remaining net proceeds from this offering to finance the remaining closings of the real estate assets that the Company previously announced it would acquire from the Median Kliniken group S.à r.l. (“MEDIAN”), including related fees, expenses, real estate transfer taxes and capital gain taxes, and the remainder of the net proceeds for general corporate purposes, which may include investing in additional healthcare properties.
